Terms of Service

Codegraff, including graff, CodeDB, CodeDB Pro, Harness, the Codegraff gateway, and codegraff.com, is the property of The Standard Harness Company of Singapore. In these terms, “Codegraff”, “we”, and “us” mean The Standard Harness Company of Singapore.

Purchasing Codegraff grants you a non-exclusive, non-transferable license to install and use the software on the number of seats covered by your plan (1 for Individual, 2 for Team). The license key is tied to your email address and may not be shared outside your licensed seats.

The student discount (90% off) requires a valid .edu email address. One discount code is issued per email address. Fraudulent use of an institutional email address is grounds for immediate license revocation without refund.

We offer a 30-day full refund on software licenses, no questions asked. Email hi@codegraff.com with your purchase email. Refunds are processed within 5 business days. Credits are covered by our Credit Terms instead and are not refundable, except where the law requires.

If you enable automatic top-ups, you authorize Codegraff to charge the total shown to your saved Stripe payment method whenever your credit balance falls below your chosen threshold. Each successful charge adds the selected credit amount. You may disable or change automatic top-ups from the billing dashboard; a payment already in progress may still complete. If an off-session payment fails or requires your action, automatic top-ups are disabled until you set them up again.

Our managed CodeDB embedding service has a zero data retention (ZDR) policy for every user of that service, including free users. We process embedding inputs transiently to fulfill the request. We do not log, cache, or persist request bodies, source code, code snippets, candidate file paths, queries, or the resulting embedding vectors. We do not build a hosted repository or vector index from them.

ZDR applies to embedding content. We still collect content-free usage analytics and maintain operational metadata needed to run, secure, and rate-limit the service. These records do not include your embedding inputs or outputs. See the Privacy Policy for the data categories and controls.

CodeDB can store indexes and embedding vectors on your own device; those local files remain under your control. This commitment covers the CodeDB embedding service we operate. If you configure a custom embedding endpoint, that operator’s terms and retention policy apply. It does not extend to separate model providers or other services connected through your coding client.

CodeDB usage telemetry is enabled by default. It records tool counts, latency, startup and index statistics, and software version and platform information. It excludes source code, file contents, file paths, and search queries. Disable CodeDB client telemetry with CODEDB_NO_TELEMETRY=1 or --no-telemetry. This does not disable operational accounting or rate limits on hosted embedding requests.

CodeDB Pro has separate telemetry settings. Its telemetry is off by default. If you enable it (codedb-pro config set telemetry=on), the CodeDB Pro client sends a daily session summary to our servers containing:

• Op counts by type (read, search, edit, batch)
• Latency percentiles (p95 per op type)
• Estimated token savings (byte counts, not file content)
• A daily-rotating session ID that cannot be linked across days

It does NOT contain: file paths, search patterns, file contents, email addresses, IP addresses, or any personally identifiable information.

We use this data to compute aggregate stats on codegraff.com and your personal dashboard. We do not sell this data. Disable at any time: codedb-pro config set telemetry=off

You may not reverse-engineer the HMAC key derivation to forge license keys, redistribute the binaries beyond your licensed seats, or use the software for any unlawful purpose.

The software is provided “as is” without warranty of any kind. Codegraff is not liable for data loss, lost profits, or any indirect damages arising from use of the software.

These terms are governed by the laws of the State of California, USA. Disputes shall be resolved in the courts of San Francisco County, California.
